Terms & Conditions

Elyon Soft Solutions agrees to provide software development, web and mobile app development, UI/UX design, and related services ("Services") as outlined in the agreed-upon project scope or statement of work.

The specific deliverables, timeline, and acceptance criteria for each engagement will be defined in a separate project agreement or SOW signed by both parties.

Clients agree to pay Elyon Soft Solutions the agreed-upon fees for the Services rendered. Payment terms, including deposit requirements, milestone payments, and invoicing schedules, will be specified in the project agreement.

• Deposits — typically 30–50% of the total project value
• Milestones — remaining balance paid upon agreed deliverable acceptance
• Late payments — may incur additional fees as specified in the agreement

All intellectual property rights, including copyrights and patents, developed as part of the Services shall belong to the client upon full payment of all fees, unless otherwise agreed upon in writing.

Until full payment is received, Elyon Soft Solutions retains all intellectual property rights to the work.

Elyon Soft Solutions agrees to maintain the confidentiality of all client information and proprietary materials disclosed during the course of the project. Similarly, clients agree to keep confidential any proprietary information belonging to Elyon Soft Solutions.

NDA agreements may be signed on request prior to sharing sensitive information.

Any changes to the project scope must be agreed upon in writing by both parties. Additional fees and/or timeline adjustments may apply to changes requested by the client.

We'll always discuss scope changes with you first and provide a written change order before proceeding.

Elyon Soft Solutions warrants that the Services provided will be performed in a professional and workmanlike manner. We also offer a warranty period during which we will address any defects or issues arising from our work.

After the warranty period, ongoing support and maintenance services may be provided under a separate agreement.

In no event shall Elyon Soft Solutions be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the Services, even if advised of the possibility of such damages.

Our total liability under these Terms shall not exceed the total fees paid by the client for the specific services giving rise to the claim.

Either party may terminate the agreement upon written notice if the other party breaches any material term of the agreement and fails to remedy the breach within a specified cure period.

These terms and conditions constitute the entire agreement between the parties and supersede all prior and contemporaneous agreements, proposals, or representations, whether written or oral.

No Cancellation. Once a project has begun, the client cannot cancel the engagement. All project commitments — including resource allocation, scheduled work, and contractual obligations — remain binding for the agreed duration.

No Refund. Due to the nature of custom work, there is no cancellation and no refund once the payment is done.

All payments made to Elyon Soft Solutions for custom development services are final and non-refundable. Clients are encouraged to review all project requirements carefully before commencing work.
